These Terms govern your use of MarkDify, the automated document-to-Markdown conversion service at markdify.com. Please read them carefully. They are written to protect both you and us to the maximum extent permitted by law; they do not, and cannot, remove rights that the law does not allow to be removed.
By using MarkDify you agree to these Terms. If you do not agree, do not use the service. If you use MarkDify for an organisation, you confirm that you are authorised to accept these Terms on its behalf.
1. The Service
MarkDify is an automated service that converts supported documents and images into Markdown and related output. Available features may change over time.
2. Automated Output
MarkDify processes files automatically. Automated extraction, recognition, conversion, and analysis may produce errors — output may omit content, misread text, change or lose formatting and structure, recognise characters incorrectly, produce incorrect tables, reorder content, calculate estimates inaccurately, or otherwise differ from the source.
You must review important output before relying on it. MarkDify output is not a certified or guaranteed reproduction of the source file.
3. No Professional Advice
MarkDify provides technical document-processing functionality only. It does not provide legal, medical, financial, tax, accounting, regulatory, or compliance advice or certification. Use qualified professionals where professional advice is required.
4. Your Content
You keep your lawful rights in the files you submit. You grant us only the limited permission needed to receive, temporarily handle, process, convert, and return your content in order to provide the service you request, secure it, troubleshoot problems, comply with law, and follow your instructions. We do not acquire ownership of your files simply because you submit them.
5. Your Responsibility for Files
You are responsible for everything you submit. You represent that you have all rights, permissions, authorisations, consents, and lawful bases necessary to possess the file, submit it, authorise its processing, and use its output. We do not independently verify ownership or permission for any file.
6. Third-Party Personal Information
If a file contains information about another person, you are responsible for ensuring your processing of it is lawful. You must not use MarkDify to evade privacy obligations, confidentiality duties, intellectual-property rights, contractual restrictions, or data-protection requirements.
7. Prohibited Uses
You may not use MarkDify to:
- violate applicable law or infringe intellectual-property rights;
- unlawfully process confidential or personal information;
- distribute malware or harmful code;
- attack, probe, scan, overload, or disrupt the service;
- bypass authentication, authorisation, quotas, or rate limits;
- access another user’s files, account, or credentials;
- interfere with the service or its operation;
- impersonate any person or facilitate fraud or abuse; or
- submit material you are legally prohibited from processing.
We may restrict or terminate abusive or dangerous activity.
8. Sensitive Information
MarkDify is a general-purpose conversion service. Unless expressly agreed otherwise in writing, it is not represented as suitable for regulated, classified, evidentiary, or guaranteed-archival use. Do not submit passwords, private keys, authentication secrets, complete payment-card details, classified information, or other information unsuitable for a general-purpose service. You are responsible for determining whether MarkDify is appropriate for your data.
9. Storage and Backups
MarkDify may temporarily handle your files and their results only as needed to provide the service, after which they are removed. Download any output you wish to keep.
MarkDify is not a backup service. You are responsible for keeping your own copies of source files and output.
10. Accounts and API
Where accounts or programmatic access are offered, you are responsible for keeping any credentials confidential, quotas and limits may apply, and endpoints may change. We may suspend or rotate credentials where reasonably necessary for security, abuse prevention, or operation. Notify security@markdify.com if you believe your access has been compromised.
11. Third-Party Dependencies
MarkDify relies on third-party infrastructure and software to operate. Failures, outages, delays, limits, or incidents affecting those third parties may affect the availability or performance of the service, and are outside our control. References to any third party do not imply endorsement or affiliation unless expressly stated.
12. Availability and Limits
MarkDify does not guarantee uninterrupted availability and may experience maintenance, delays, failures, or interruptions. We may reasonably modify, limit, suspend, or discontinue features for security, maintenance, abuse prevention, legal compliance, or product changes. We may impose file-size, file-type, conversion, batch, quota, concurrency, and rate limits, which may change; circumventing them is prohibited. Mandatory legal rights are unaffected.
13. Estimates
Any figures presented as estimates — including token counts or estimated token reduction — are estimates only and depend on many factors. Do not treat them as guarantees or billing-grade measurements.
14. No Warranty
To the maximum extent permitted by applicable law, MarkDify is provided "as is" and "as available." Except for rights and warranties that cannot lawfully be excluded, we do not guarantee that the service will always be available, that every file will convert, that output will be error-free or complete, that formatting or structure will be preserved, that recognition will be accurate, that estimates will be exact, that files will remain available, or that the service will meet any particular legal, regulatory, or business requirement or be free from vulnerabilities or interruption. Nothing here excludes a warranty or statutory right that the law does not permit us to exclude.
15. You Must Verify Important Results
You are responsible for independently reviewing output before relying on it where an error could cause material consequences — including contracts, legal, financial, tax, healthcare, compliance, regulatory, academic, safety-critical, or evidentiary materials. MarkDify must not be your only validation method for important information.
16. Data Loss
Subject to applicable law, we are not responsible for data loss resulting solely from removal under our retention practices, deletion you request or perform, failure to download output, malformed or unsupported source files, third-party failures, or use of MarkDify as a substitute for a backup service.
17. Limitation of Liability
Nothing in these Terms excludes or limits liability that applicable law does not permit us to exclude or limit (which may include fraud, wilful misconduct, or death or personal injury caused by negligence).
Subject to those mandatory rights and to the maximum extent permitted by law, MarkDify and its operator will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, business, goodwill, anticipated savings, use, data, or files, where such exclusion is lawful.
Where the law permits a liability cap, our total liability arising from the service will not exceed the greater of (a) the amount you paid us directly for the affected service in the twelve months before the event, or (b) US $100. Nothing here removes mandatory consumer rights or remedies that cannot lawfully be waived.
18. Indemnity (Business Users)
To the extent permitted by law, if you use MarkDify for business or commercial purposes, you will indemnify MarkDify and its operator against third-party claims and reasonable costs arising directly from content you had no right to submit, your infringement of third-party rights, your unlawful processing of personal data, your breach of confidentiality, your unlawful use of the service, or your intentional circumvention of its security. This does not require you to indemnify us for losses caused by our own breach, negligence, or misconduct where that would be unlawful.
19. Force Majeure
To the extent permitted by law, neither party is responsible for delay or failure caused by circumstances reasonably beyond its control, such as major internet or infrastructure outages, natural disasters, war, terrorism, civil unrest, widespread cyber-attacks, government action, or utility failure. This does not remove rights that consumer law does not permit us to exclude.
20. Suspension and Termination
We may suspend or terminate access where reasonably necessary because of a material breach of these Terms, unlawful activity, abuse, security threats, unauthorised access, repeated circumvention of limits, or legal obligations. Where the law requires notice or remedies, those requirements apply. You may stop using MarkDify at any time.
21. Governing Law
Except where mandatory law provides otherwise, these Terms are governed by the laws of the jurisdiction in which the operator of MarkDify is established, without regard to conflict-of-law principles, and disputes are subject to the competent courts of that jurisdiction. Nothing in this section removes a consumer’s right to rely on the mandatory law or forum of their own country of residence where applicable law provides that right.
22. Mandatory Consumer Rights
Nothing in these Terms is intended to remove mandatory consumer protections, exclude non-excludable statutory obligations, exclude liability the law prohibits excluding, or make legal remedies unavailable where the law requires them. If any disclaimer or limitation conflicts with mandatory law, the mandatory law controls.
23. General
If any part of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted or severed, and the remainder continues to apply. Our failure to enforce a provision immediately does not waive our right to enforce it later. We may transfer these Terms as part of a merger, restructuring, acquisition, or sale, subject to applicable law. These Terms, together with the Privacy Policy, constitute the agreement governing your use of MarkDify.

25. Acknowledgement
By using MarkDify you acknowledge that conversion is automated and may contain errors, that output should be reviewed, that you are responsible for the files you submit and for having authority to process them, that MarkDify is not a backup service, that source files should be kept independently, and that the warranty and liability limitations apply only to the extent permitted by law.
